Compliance Structure
The SHIP HEALTHCARE Group deliberates and determines critical compliance measures through the “Internal Control and Compliance Committee,” which is resolved by the Board of Directors. The committee regularly reports its activities to the Management Meeting and the Board of Directors.
Under the group mission of “Creating Environments for Medical Professionals,” the Group recognizes that strengthening internal controls and compliance is one of the most critical management priorities, given its social responsibility as a corporate group involved in life-related fields.
The Internal Control and Compliance Committee not only monitors the state of compliance across the group companies but also enforces measures to prevent harassment, promote fair trade, and ensure adherence to various regulatory requirements.
Corporate Governance Structure as of March 31, 2024
The Board of Directors includes independent outside directors, constituting one-third of its membership. Under their supervision, the Internal Control and Compliance Committee, chaired by the Representative Director and President, is established directly under the Management Council to enhance governance across the entire Group.

Whistleblowing System
To detect or prevent acts that violate laws or corporate ethics at an early stage, SHIP HEALTHCARE Group has established compliance consultation desks for employees to report or seek advice. In addition to having an in-house consultation desk within each group company, a group-wide common consultation desk is available to handle inquiries across the organization.
Code of Corporate Conduct
Since its founding, SHIP HEALTHCARE Group has embraced the “SHIP Philosophy” as its shared management principle, serving as a guideline for all corporate activities and contributing to steady growth.
As we continue to fulfill our mission of “Creating Environments for Medical Professionals,” it is essential to return to the origins of the SHIP Philosophy and pass on this vision to future generations. In increasingly challenging business environments, cases of non-compliance with societal rules, driven by a prioritization of short-term profits, sometimes jeopardize corporate sustainability.
To meet the expectations of local communities and various stakeholders while adhering to higher ethical and moral standards, SHIP HEALTHCARE Group has established a “Code of Corporate Conduct” to embody actions rooted in the SHIP Philosophy.
Information Management

The Group strives to protect its information assets from threats such as cyberattacks and ensures their proper management and operation in its business activities.
